While founders might be excellent in growing their businesses and getting customers, one of the biggest challenges faced by many founders is fundraising. Frequently, even when the round is successfully closed, they may not have best protected their own interests and those of the business in the long run. This is because many founders are unaware of the legal issues to look out for when drafting contracts and the nuances behind the different clauses.

The good news is that many of these issues can be overcome through proper education, legal advice and guidance.

Our trainers, Ms Woo Shu Yan, and Mr Benjamin Gaw, are highly regarded legal specialists in Drew and Napier, one of Singapore's leading and largest full-service law firms. In this knowledge-sharing session, you will be able to gain insights and understanding into the legal issues behind each fundraising round. Here is what you will be learning about:

1. Funding Rounds

(a) What to watch out for from a startup’s perspective
(b) Using the Venture Capital Investment Model Agreements initiated by the Singapore Academy of Law as a starting point, we will discuss the different clauses and elements which the startup should understand and consider in its negotiations
(c) Anecdotes and experience sharing by AngelCentral founders

2. Operations

(a) Basics of shareholder agreements and why they may be necessary
(b) Duties of Directors
(c) Standard contracts to consider: Non-disclosures, employment
(d) Other statutory obligations e.g. data protection
